01Agreement to Terms

These Terms & Conditions ("Terms") form a binding agreement between you ("you" or "User") and Best Family Gifts LLC, a Wyoming limited liability company ("we," "us," "our," or "BGFL"). By accessing or using bestgiftforfamily.co (the "Site") or any of our Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site or Services.

02Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use our Services. If you are using the Services on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.

03Description of Services

Best Family Gifts LLC provides digital marketing services including affiliate marketing, media buying, social media marketing, search engine optimization, ecommerce management, lead generation, app install campaigns, and digital consulting (collectively, the "Services").

The specific scope, deliverables, fees, and payment terms for engagements with advertisers or publishers will be set out in a separate written agreement, insertion order, or campaign brief between you and BGFL. In the event of a conflict between these Terms and a signed agreement, the signed agreement controls.

04Accounts

Account creation

Some Services require you to create an account as either an advertiser or a publisher. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

Account security

You are responsible for safeguarding your account credentials and for any activity that occurs under your account. Notify us immediately at [email protected] if you suspect any unauthorized use of your account.

One account per entity

You may not maintain more than one account per individual or entity without our prior written consent. We may suspend or close duplicate accounts at our discretion.

05Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree to:

• Comply with all applicable laws, regulations, and industry guidelines (including advertising, consumer-protection, data-protection, and anti-spam laws)
• Provide accurate information in all interactions with the Services
• Use only legitimate traffic sources and creative assets you have the right to use
• Honor the targeting, frequency, and geographic restrictions of any campaign
• Cooperate with reasonable requests for documentation, audits, or fraud investigations

06Prohibited Conduct

You will not, and will not allow any third party to:

• Generate fraudulent, incentivized, bot, or otherwise non-genuine traffic, clicks, leads, installs, or conversions
• Use misleading, deceptive, or fraudulent advertising practices
• Misrepresent yourself, your business, or your traffic sources
• Promote content that is illegal, infringing, defamatory, obscene, hateful, or that promotes violence
• Distribute malware, spyware, adware, or any malicious code through the Services
• Attempt to interfere with, reverse-engineer, or circumvent any part of the Services or their security
• Resell, sublicense, or otherwise transfer access to the Services without our written consent
• Use the Services to violate any third party's intellectual property, privacy, or other rights
• Send unsolicited commercial communications in violation of applicable law (including CAN-SPAM, CASL, GDPR e-Privacy provisions, and similar)

We may investigate suspected violations, withhold payouts associated with fraudulent or non-compliant activity, and suspend or terminate accounts in connection with such violations.

07Payment Terms

Advertisers

Advertisers agree to pay all fees and amounts set out in the applicable insertion order, statement of work, or campaign brief. Unless otherwise agreed in writing, invoices are payable within 30 days of issue. Late payments may accrue interest at the lower of 1.5% per month or the maximum rate permitted by law, and may result in suspension of Services.

Publishers

Publishers will be paid commissions, fees, or other amounts only for valid, verified, non-fraudulent activity in accordance with the applicable campaign terms. We reserve the right to withhold, reverse, or charge back amounts associated with traffic or conversions that are invalid, fraudulent, non-compliant, refunded, or otherwise reversed by the advertiser.

Taxes

All amounts are exclusive of applicable taxes, which are your responsibility unless otherwise required by law.

08Intellectual Property

Our content

The Site, the Services, and all related content — including software, text, graphics, logos, and design elements — are owned by Best Family Gifts LLC or our licensors and are protected by copyright, trademark, and other laws. Except as expressly granted in these Terms, we do not grant you any rights in our intellectual property.

Your content

You retain ownership of the content, creative assets, trademarks, and materials you provide ("Your Content"). You grant BGFL a non-exclusive, worldwide, royalty-free license to host, copy, transmit, display, and otherwise use Your Content as necessary to provide the Services. You represent that you have all rights needed to grant this license.

09Third-Party Content

The Services may contain links to or integrate with third-party websites or services. We are not responsible for the content, policies, or practices of third parties. Your use of any third-party site or service is at your own risk and subject to that third party's terms.

10Disclaimers

We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We make no guarantee regarding the volume, quality, or outcome of any marketing campaign.

11Limitation of Liability

BGFL's aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the total amounts paid by you to BGFL in the twelve (12) months immediately preceding the event giving rise to the liability, or (b) one hundred US dollars (USD 100).

12Indemnification

You agree to defend, indemnify, and hold harmless Best Family Gifts LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services or violation of these Terms
• Your Content or your traffic sources
• Your violation of any law or any rights of a third party
• Any fraudulent or non-compliant activity attributable to your account

13Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason — including if we reasonably believe you have violated these Terms or any applicable law. You may stop using the Services at any time.

Upon termination, your right to use the Services ends immediately. The following provisions will survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and Miscellaneous.

14Governing Law

Best Family Gifts LLC is organized under the laws of the State of Wyoming, USA. These Terms and any dispute arising out of or relating to them or the Services will be governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Subject to the Dispute Resolution section below, the state and federal courts located in Sheridan County, Wyoming will have exclusive jurisdiction over any dispute that is not subject to arbitration.

15Dispute Resolution

Before filing any claim, the parties agree to attempt in good faith to resolve the dispute informally for at least sixty (60) days, beginning with written notice to [email protected].

If a dispute cannot be resolved informally, both parties agree that any claim arising out of or relating to these Terms or the Services will be resolved through final and binding individual arbitration in Sheridan County, Wyoming, under the then-current rules of a recognized arbitration body, except that either party may bring a claim in small-claims court if eligible. The parties waive any right to a jury trial and to participate in a class action.

16Changes to Terms

We may revise these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. If the changes are material, we will provide reasonable notice — for example, through the Site or by email. Your continued use of the Services after changes take effect means you accept the revised Terms.

17Miscellaneous

These Terms, together with any signed agreement, insertion order, or campaign brief between you and Best Family Gifts LLC, constitute the entire agreement between you and BGFL regarding the Services. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them at any time.
